AHMAD FAHMI YAHYA BIN OSMAN

En Ahmad Fahmi Yahya commenced practice in May 2002 in the areas of corporate and commercial laws. He has been involved in several corporate exercises undertaken by public listed companies since, including initial public offers, mergers and acquisitions, restructuring of PN 4 companies and other corporate exercises.

The scope of his work includes managing, supervising and conducting the requisite legal due diligence exercise to facilitate the submission or application made to the relevant authorities such as the Securities Commission, Bursa Malaysia Securities Berhad and the Ministry of International Trade and Industry for approval of the corporate exercises.

He attended to and handled several PN 4 Companies restructuring exercises where he was very involved in the legal process of the companies restructure including conducting thorough research and rendering of opinion on the restructuring scheme proposed by the companies.

In addition, he had been involved in the listing process of several corporations to the Bursa Malaysia Securities Berhad where he was overseeing, managing and completed the due diligence process during the initial stage of the proposals to the listing stage of the companies. The process includes advising the respective companies of the company structure before the listing process and advising the companies on the laws, regulation and rules governing the companies involved which includes but not limited to the Companies Act 1965, the Securities Commission Act 1993 (now the Capital Markets and Services Act, 2007), the Securities Industries Act, the Industrial Co-ordination Act 1975, the Industrial Relation Act, Bank Negara ECM Rules etc. In addition, other than the listing of companies on the Bursa Malaysia Securities Berhad, En. Fahmi had been involved in the listing of Medilink-Global Ltd on the Alternative Investment Market of the London Stock Exchange.

In his growing legal career, En Fahmi was involved in the restructuring of Idris Hydraulic Berhad, proposed restructuring of Southern Plastic Holdings Berhad, proposed restructuring of Autoways Holdings Berhad and the listing of various corporation including but not limited to Sanichi Technology Berhad and Opcom Holdings Berhad on the Bursa Malaysia Securities Berhad. He was also involved in the corporate exercise undertaken by the Berjaya Group of Companies, Pembinaan Limbongan Setia Berhad, Confarm Berhad, Lityan Holdings Berhad, Mah Sing Group Berhad, Furniweb Industrial Products Berhad, Glomac Berhad, Magna Prima Berhad, Sanichi Technology Berhad and Linear Group.

Further, he was and in some case still very much involved in providing legal services for the acquisition of companies for the Lafarge Group of Companies especially Lafarge Aggregates Sdn Bhd and he was also involved with the restructuring of the 7 Eleven stores by the Berjaya Group.

In commercial matters En. Fahmi is well experienced to render advise to clients, to draft and review commercial agreements including reviewing and drafting telecommunications agreements, joint venture agreements, agency agreements, reseller agreements, promoter agreements and other commercial agreement such as asset purchsase agreements and share transfer/swap agreements.

In the conveyancing matter, En Fahmi is involved in several development projects including the Semenyih Hi-Tech Industrial Park undertaken by Kiara Susila Sdn Bhd and the Taman Raintree Development by Ratus Bayan Sdn Bhd which is managed by Impiana Land & Development Sdn Bhd.
